A Liaison Office serves as a non-commercial establishment for foreign companies operating in Bangladesh. It does not engage in any income-generating activities, business, trade, or industrial operations. Instead, it facilitates communication and coordination between the parent company and relevant entities in Bangladesh.
Liaison Offices and Representative Offices follow the same registration process under the Bangladesh Investment Development Authority (BIDA) and are subject to the same operational restrictions.
How to Register a Liaison Office in Bangladesh
To establish a Liaison Office, prior approval from BIDA is required. The following documents must be submitted along with a prescribed application form, duly attested by:
✔️ Bangladesh Embassy or High Commission in the company’s country of origin
✔️ Apex Chamber of Commerce in the country of origin

✅ Memorandum & Articles of Association (MoA & AoA) – Of the parent company
✅ Certificate of Incorporation – Of the parent company
✅ List of Directors/Promoters – Including names and nationalities
✅ Board Resolution – Authorizing the opening of a Liaison Office in Bangladesh
✅ Audited Financial Statements – For the last fiscal year
✅ Proposed Office Organogram – Showing positions of expatriate and local employees
✅ List of Activities – To be conducted by the Liaison Office, printed on the parent company’s letterhead
